Service Agreement – Exterior Wash Solutions Ltd

1. Introduction

1.1 This Service Agreement (“Agreement”) sets out the terms and conditions under which Exterior Wash Solutions Limited (“the Company”, “we”, “us”, “our”) provides exterior washing, soft washing, pressure washing, and related services (“Services”).

1.2 By booking or receiving Services from the Company, the client (“you”, “your”) agrees to be bound by this Agreement.

1.3 If you do not agree to these terms, you must not engage the Company for Services.

2. Scope of Services

2.1 The Company provides exterior cleaning services, including, but not limited to:

  • Pressure washing.
  • Building washing.
  • House washing.
  • Roof, gutter, and surface cleaning.
  • Fence, deck and driveways.
  • Window cleaning.
  • Commercial and Industrial exterior cleaning.
  • Rural and specialised.
  • Chemical application.
  • Exterior maintenance washing.

2.2 Additional services (By Request)

2.3 These services are offered depending on availability and job suitability. Any additional services, materials, or client-supplied items will be discussed at the time of quoting:

  • Rubbish removal (Client provides or pays for skip/bin).
  • Shed clean outs and sweeping.
  • Minor painting/touch ups (Client supplies or pays for paint and materials).
  • Minor gutter repairs (Client will be quoted and/or has to pay for replacement parts).
  • Spider Treatments (by request) Availability depends on product suitability and safety requirements.

2.4 We provide exterior washing and related services as agreed during quoting or booking. The specific Services to be provided will be confirmed through written communication, quotation, or booking confirmation.

3. Service Types and Definitions

3.1 Moss & Mould Treatment - A chemical treatment applied to kill organic growth on exterior surfaces.
• Works gradually over several weeks as the weather activates it
• No pressure washing unless specifically included
• Helps slow regrowth and keeps surfaces safer between washes
• Suitable for roofs, paths, fences, walls, and shaded areas
• Weather‑dependent for safety

3.2 Soft Wash - A low‑pressure exterior clean using detergents and controlled rinsing.
• Safe on paint, cladding, windows, and delicate surfaces
• Removes grime, salt, cobwebs, and light mould
• Not a restoration clean
• Ideal for general home maintenance

3.3 6‑Monthly Maintenance - A scheduled maintenance clean is carried out every 6 months.
• Light, fast clean to keep surfaces consistently presentable
• Suitable for windows, commercial sites, and high‑traffic areas
• Pricing remains stable because build‑up stays low
• We send a reminder before your due date
• No lock‑in — you can skip or reschedule

3.4 Annual Maintenance - A preventative clean is carried out once every 12 months.
• Full exterior soft wash or agreed service
• Prevents heavy build‑up of mould, grime, and salt
• More cost‑effective long‑term than one‑off cleans
• We send a reminder each year — no lock‑in
• Pricing remains consistent as long as the service is completed annually

3.5 One‑Off Clean - A single service with no ongoing schedule.
• Typically involves heavier build‑up
• Pricing reflects the extra time and product required
• No reminders or future bookings unless requested
• Ideal for pre‑sale, move‑in, or overdue maintenance

4. Quotes

4.1 Quotes are based on the information provided. Additional charges may apply if the job is larger, unsafe, or requires extra time/equipment:

  • Quotes are based on the information provided by the client at the time of enquiry.
  • Additional charges may apply if the job is larger than described, unsafe, or requires extra time, equipment or materials.
  • Any additional services, materials, client-supplied items will be discussed and confirmed at the time of quoting.
  • Quotes are valid for 7 days unless stated otherwise.
  • The final price will be confirmed through written communication, quotation, or booking confirmation.
  • If access, safety or site conditions differ from what was described, the quote may be adjusted before work begins.

4.2 Standard clients: Quotes are valid for 7 days. Pricing and scheduling may change after this period.

4.3 Contracted clients: Where a service agreement is in place with a fixed monthly invoicing cycle, the contract terms override the standard quote validity period.

5. Payment Terms

5.1 Payment is due upon completion of Services unless prior arrangements have been agreed in writing (email, text message, or written confirmation)

5.2 Standard clients: Invoices must be paid within 7 days of the invoice date unless otherwise agreed in writing.

5.3 Contracted clients: All work completed under an active service agreement will be invoiced on the agreed monthly billing date (e.g., the 20th of each month), regardless of the date the work was completed.

5.4 Late payment may incur fees, interest, or recovery costs.

5.5 Prices will be provided in a written quote or estimate.

5.6 For jobs requiring materials, products, or client-requested extras, a deposit may be required before work begins.

5.7 All materials, skip bins, and replacement parts must be supplied or paid for by the client.

5.8 Clients can request that Exterior Wash Solutions Limited arrange the materials, such as skip bins, paint, chemicals, or replacement parts. The client is responsible for paying for these items, and a deposit may be required at the time of quoting.

5.9 All materials, skip bins, and replacement parts must be supplied or paid for by the client.

6. Additional charges may apply for:

  • Unexpected hazards.
  • Additional labour.
  • Areas not visible or disclosed during quoting.
  • Excessive dirt, mould, or buildup requiring extra treatment.

7. Cancellations 

7.1 Cancellations must follow our Cancellations Policy.

7.2 Clients are responsible for reviewing this policy. 

7.3 We require notice for all cancellations. Short-notice cancellations may incur a fee.

8. Rescheduling

8.1 Clients may reschedule within our required notice period.

8.2 Weather-related changes are handled on a case-by-case basis.

9. Refunds

9.1 Refunds are assessed based on the stage of service and circumstances.

10. Access Requirements

10.1 You agree to provide safe access to the property, including:

  • Unlocked gates.
  • Clear access to work areas.
  • Removal of obstacles, vehicles, and personal items.
  • Pets secured.
  • Hazards disclosed before arrival.
  • Windows closed.
  • Sensitive areas requiring protection.
  • Water and power access must be available unless otherwise agreed.

10.2  Clients must ensure safe and clear access to all areas required for the job.

10.3 All windows and doors must be fully closed before work begins.

10.4 Exterior Wash Solutions Limited is not responsible for water entering the property due to open windows, gaps, or unsecured areas.

10.5 Outdoor items, furniture and personal belongings should be moved or protected by the client unless otherwise agreed.

10.6  If access is blocked, unsafe, or delayed, additional charges may apply or the job may need to be rescheduled.

11. Safety & Weather conditions

11.1 We may reschedule if conditions are unsafe (wind, rain, chemicals, heights, or equipment risks).

11.2 Services may be postponed or rescheduled due to:

  • Heavy rain.
  • High winds.
  • Unsafe working conditions.
  • Health and safety risks.

11.3 Exterior Wash Solutions Limited will notify the client as soon as reasonably possible if rescheduling is required.

12. Damage and Liability

12.1 Exterior Wash Solutions Limited holds current public liability insurance. Proof of insurance is available on request

12.2 We take care with all equipment and surfaces. Pre‑existing damage will be photographed and noted.

12.3 The Company will notify the client of any accidental damage caused during the provision of Services.

12.4 Exterior Wash Solutions Limited is not responsible or liable for any damage arising from:

  • Pre‑existing damage.
  • Loose paint, oxidisation, or fragile surfaces.
  • Water ingress due to open windows, poor building design or lack of maintenance.
  • Damage caused by hidden defects or structural weaknesses.
  • Damage resulting from client failure to disclose relevant information.
  • Fragile, deteriorated or weather damaged surfaces.
  • Incorrect installation of fixtures or materials.
  • Unsecured items, belongings, or outdoor furniture.

13. Company Responsibilities

13.1 Exterior Wash Solutions Limited will provide all services with reasonable skill, care, and professionalism.

13.2 All work will be carried out in accordance with health and safety requirements and industry standards while on site.

13.3 Exterior Wash Solutions Limited will take reasonable steps to protect client property during the provision of Services.

13.4 Communicate clearly about quoting, scheduling and any changes.

13.5 Notify the client of any pre-existing damage or concerns before work begins.

13.6 Take reasonable steps to avoid damage to property and surroundings.

13.7 Stop work if conditions are unsafe or access is restricted.

13.8 Provide written confirmation of bookings, or changes when required.

14. Client Responsibilities

14.1 Clients agree to:

  • Provide safe, clear access to all areas required for the job.
  • Ensure all windows and doors are fully closed before work begins.
  • Move or protect outdoor items, and fragile belongings, unless otherwise agreed.
  • Secure pets, vehicles and children away from work areas.
  • Disclose any pre-existing damage, leaks, fragile surfaces, or structural issues, before work begins.
  • Ensure the site is safe and free from hazards that may affect the work.
  • Follow any safety instructions provided by Exterior Wash Solutions Limited.
  • Notify Exterior Wash Solutions Limited of any changes to access, scheduling, or job requirements.
  • Pay for any materials, skip bins, or replacements parts arranged by the company as agreed during quoting.
  • Make payment in accordance with the Payment Terms outlined in this agreement.
  • Not use, operate, or interfere with any Exterior Wash Solutions Limited equipment, machinery or tools at any time.

15. Satisfaction and Service Limitations

15.1 Exterior Wash Solutions Limited will carry out all services with reasonable care and skill.

15.2 Exterior cleaning results vary depending on surface condition, age, material, and environmental factors.

15.3 While we aim to achieve the best possible results, clients acknowledge that the Company does not guarantee removal of:

15.4 Some stains, marks, mould, oxidation, rust marks, paint failure, and organic growth embedded in porous surfaces or weathering may not be fully removable.

15.5 We cannot guarantee outcomes on fragile, deteriorated, or previously compromised or weather damaged surfaces.

15.6 We are not responsible for pre-existing issues that affect the final result.

15.7 Surfaces with aged paint, porous materials or long-term staining may not return to their original appearance.

15.8 We will advise the client if we believe a surface may not respond well to cleaning.

15.9 Exterior Wash Solutions Limited will advise the client if a surface is unsuitable for high‑pressure or chemical treatment.

16. Photography and Documentation

16.1 Exterior Wash Solutions Limited may take before, during, and after photos or videos of the work site for the purposes of:

  • Quoting and assessments.
  • Record keeping and proof of service.
  • Training and quality control.
  • Marketing ad advertising, and social media content.

16.2 No identifiable individuals are intentionally included.

16.3 No personal belongings, license plates, house numbers, or location revealing details are intentionally included.

16.4 Images are framed to make the property as unidentifiable as reasonably possible

16.5 Clients who do not want their property images used for marketing must notify Exterior Wash Solutions Limited in writing via email only before the scheduled service. If no written request is received, the client grants permission for Exterior Wash Solutions Limited to use images of the property for promotional purposes.

16.6 All images remain the intellectual property of Exterior Wash Solutions Limited and may be retained for internal documentation even if marketing use is declined.

17. Health and Safety

17.1 Exterior Wash Solutions Limited operates under the Health and Safety at Work Act 2015 and maintains strict safety procedures at all times. To ensure a safe work environment, the following conditions apply:

17.2 The Company complies with the Health and Safety at Work Act 2015.

17.3 Exterior Wash Solutions Limited will assess the site and may stop or refuse work if conditions are unsafe, access is restricted, or hazards are present.

17.2 Clients and members of the public must remain clear of the work area at all times.

17.3 Clients and members of the public must remain clear of the work area at all times, including driveways, walkways, decks and any area where equipment is being used.

 17.4 Clients must not operate, touch or interfere with any Company equipment, hoses, ladders, chemicals, or machinery under any circumstances.

17.5 Children, pets and vehicles must be kept well away from the work zone for the duration of the service.

17.6 Exterior Wash Solutions Limited may use chemicals, high-pressure equipment and elevated work platforms, which require controlled space and safe operating distance.

17.7 Clients must disclose any hazards, fragile areas, leaks, electrical risks or structural issues before work begins.

17.8 Exterior Wash Solutions Limited will follow all required PPE, safety procedures and risk-management practices, including stopping work if weather conditions become unsafe.

17.9 If unsafe behaviour from the client or public occurs, Exterior Wash Solutions Limited may pause or cancel the job, and additional charges may apply.

18. Any interference with Exterior Wash Solutions Limited equipment or safety procedures may result in immediate termination of the service, and full charges still apply.

18. Limitation of Liability

18.1 To the fullest extent permitted by New Zealand Law:

18.2 Exterior Wash Solutions Limited is not liable for any indirect, incidental, special, or consequential damages, including loss of income, loss of use, or loss of enjoyment.

18.3 Exterior Wash Solutions Limitmited's total liability shall not exceed the value of the services provided.

18.4 Exterior Wash Solutions Limited total liability for any claim arising from the services shall not exceed the total amount paid by the client for those services.

18.5 Exterior Wash Solutions limited is not responsible for damage caused by:

  • Pre-existing defects.
  • Structural weaknesses.
  • Poor building design or maintenance, oxidisation, mould, rust, paint failure, or organic growth embedded in porous surfaces.
  • Incorrect installation of fixtures or materials.
  • Client failure to disclose relevant information.

18.6 Exterior Wash Solutions Limited is not liable for water ingress caused by open windows, damaged seals, or building defects.

18.7 Exterior Wash Solutions Limited is not liable for delays, cancellations or rescheduling caused by weather, safety concerns or access issues.

18.8 Nothing in this Agreement limits the client’s rights under the Consumer Guarantees Act 1993 where applicable.

19. Governing Law

19.1 This Agreement is governed by the laws of New Zealand.

19.2 Any disputes arising from the Services shall be resolved in the New Zealand courts.

20. Acceptance of Terms

20.1 By booking a service with Exterior Wash Solutions Limited, the client acknowledges that they have read, understood, and agreed to the terms and conditions outlined in this Service Agreement.

20.2 The client understands that:

  • Proceeding with a booking, quote acceptance, or service request constitutes full acceptance of these terms.
  • It is the client’s responsibility to review all relevant policies, including Cancellations & Rescheduling, Payments, Damage & Liability, and Photography.
  • Any variations to these terms must be agreed to in writing by Exterior Wash Solutions Limited.
  • If the client does not agree to these terms, they must not proceed with booking or requesting services from Exterior Wash Solutions Limited.
